By agreeing to these Terms and Conditions, you irrevocably agree to enter into a binding contract between you and Festa Della Donna, Esther Graham, and her planning partners Journeywork Retreats, Tamara Golden, Italy Beyond, and Relais Sassa al Sole(the “Companies” or “we/us”). By signing below, you are acknowledging that you have read, agree to and accept all of the terms and conditions contained in this Agreement. The Companies may amend this Agreement at any time by sending you a revised version to your email address and confirming receipt.
INCLUSIONS.
I understand the following things are included in my all-inclusive Retreat experience:
• Exclusive retreat workshops with Esther Graham to define your goals and identify your blocks
• Round trip airport transfers from either Pisa or Florence airports
• 6 nights’ accommodations at Relais Sassa al Sole
• All breakfasts, lunches and dinners, including coffee and juices at breakfast and water at lunch and dinner
• Two exclusive olive oil and wine tastings provided by local vineyards
• Daily afternoon transfer (for up to 4 participants per day) to the nearby historic village of San Miniato
• Sightseeing day trip to Pisa and Lucca, including entry tickets to, and a 2-hour guided tour of, Pisa’s UNESCO World Heritage listed Campo dei Miracoli and Leaning Tower
• One 50-minute massage or spa treatment of your choice at Relais Sassa al Sole’s Otium Spa
• Complimentary wi-fi, and access to all Relais Sassa al Sole amenities
EXCLUSIONS.
I understand the following things are my own responsibility:
• Flights between the US and either Pisa or Florence airports
• All COVID-19 tests required for entry into Italy or for re-entry back into the United States
• Travel insurance (to cover trip cancellation or interruption…HIGHLY RECOMMENDED!)
• Meals or beverages other than those indicated above
• Souvenirs, additionalsightseeing costs, personal expenses
• Additional accommodations should you want to arrive before or stay after the Retreat
AUTHORIZATION OF PAYMENT.
By signing below, you authorize the Companies to receive a direct ACH bank transfer or charge your credit or debit card, as payment for your enrollment in the Retreat in accordance with the Retreat package and payment plan selected upon registration. You are responsible for the entire tuition.
$1,000 deposits are refundable through January 31, 2022. Starting February 1, 2022, all payments received are non-refundable. If you have chosen a payment plan all scheduled payments must be paid on a timely basis whether you complete the Retreat or not. If you enter into a payment plan and any one payment is missed the entire amount agreed to under the agreement becomes due and payable immediately, and for each month such payment goes unpaid 1.5% interest is added to the amount due.
TRAVEL REQUIREMENTS.
Participation in this Retreat is limited to those in possession of a passport valid for a minimum of 3 months from the Retreat end date of October 15, 2022. The name on your reservation must match exactly your legal name as it appears on your passport.
Participants must adhere to all requirements outlined by the government of Italy necessary for entry into the country by U.S. citizens and Legal Permanent Residents, including COVID testing, vaccinations or insurance coverage.
Similarly, participants must adhere to all requirements outlined by the U.S. government for re-entry into the country. Effective December 6, 2021, all air passengers 2 years or older (citizens of all nationalities, including U.S. citizens, whether vaccinated or unvaccinated) with a flight departing to the US from a foreign country, are required show a negative COVID-19 viral test result taken no more than 1 day before travel, or documentation of having recovered from COVID-19 in the past 90 days, before they board their flight. Relais Sassa al Sole will make arrangements for all guests to receive COVID testing prior to departure. All Retreat participants must agree to be tested and incur the payment for such testing.
TRIP INSURANCE TO PROTECT AGAINST UNFORESEEN CANCELLATIONS IS STRONGLY RECOMMENDED.
Trip insurance can protect you in the event you must cancel for a covered medical or other unforeseen reason or event (“Force Majeure” as defined herein below), as well as trip interruption, lost or damaged baggage, trip delays, etc. Check with your credit card issuer if they provide trip protection of any kind, otherwise you can purchase trip insurance from a third-party provider. Journeywork Retreats is able to quote trip insurance if so desired through their parent company Golden Journeys Travel.
MOBILITY REQUIREMENT.
PLEASE NOTE: This Retreat requires walking on uneven surfaces and navigating stairs, and in instances where alternative accommodations are unfortunately not available. We cannot be held responsible for parties who do not acknowledge these parameters.
HEALTH REQUIREMENTS.
The Companies will be following and adhering to all mandated health protocols, policies and guidelines in place at the time of this Retreat to ensure all participants’ maximum safety. The Companies may require you prior to traveling, at the start of traveling, or at any time during traveling: (a) disclose your current health status; (b) disclose your past health, illness or vaccination status; (c) wear personal protective equipment; (c) observe social and/or physical distancing; and/or (d) require you to undergo health screenings, including but not limited to temperature checks and/or tests to determine if you may be suffering from COVID-19 or similar viral or bacterial ailments that would cause a health risk to others. The third-party facilitators and vendors and transportation providers utilized may also require similar disclosures and health screenings and refusal and/or failure to cooperate with these processes gives the Companies the right to exclude you from the Retreat and/or activities and/or cut short any involvement or participation by you in the Retreat and/or the Retreat activities. In such an event, you will NOT be entitled to any refund or return of deposits or fees or payments and may be required to pay to alter travel arrangements for the protection of the health of other members and/or in accordance with governmental health service restrictions and rules.
TERMINATION FOR UNPROFESSIONALISM.
We are committed to providing all Retreat participants with a positive Retreat experience. By agreeing to these terms and conditions, you agree that the Companies may, at their discretion, terminate this agreement, and limit, suspend, or terminate your participation in the Retreat without refund or forgiveness of remaining monthly payments if you become disruptive or difficult to work with, if you fail to follow the Retreat guidelines, or if you impair the participation of Retreat instructors or participants in the Retreat.
CONFIDENTIALITY.
We respect your privacy and must insist that you respect the privacy of fellow Retreat participants. By accepting these terms and conditions, you agree not to violate the publicity or privacy rights of any Retreat participant. We respect your confidential and proprietary information, ideas, plans and trade secrets (collectively, “Confidential Information”) and must insist that you respect the same rights of fellow Retreat participants and of the Companies. By accepting these terms and conditions, you agree (1) not to infringe on any Retreat participant’s or the Companies’ copyrights, patents, trademarks, trade secrets or other intellectual property rights, (2) that any Confidential Information shared by Retreat participants or any representative of the Companies is confidential and proprietary, and belongs solely and exclusively to the participant who discloses it or the Companies, (3) you agree not to disclose such information to any other person or use it in any manner other than in discussion with other Retreat participants during Retreat sessions. By signing below, you further agree that (4) all materials and information provided to you by the Companies are their confidential and proprietary intellectual property, belong solely and exclusively to the Companies, and may only be used by you as authorized by the Companies, and (5) the reproduction, distribution and sale of these materials by anyone but the Companies is strictly prohibited. Further, by signing below, you agree that, if you violate, or display any likelihood of violating, any of your agreements contained in this paragraph, the Companies and/or the other Retreat participant(s) will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.
LIABILITY.
In consideration for participating in the Retreat, you, and you on behalf of your executors, administrators, heirs, successors, assigns voluntarily assume full responsibility for and hereby release, waive, discharge, hold harmless, and covenant not to sue the Companies, its officers, members, agents, contractors, employees, volunteers, guides, and other representatives for any and all claims, demands, actions, causes of action, and/or losses (including but not limited to any exemplary, direct, indirect, incidental, special, consequential, punitive, or other damages, medical expenses, lost wages/income, loss of services, lost profits, property damage, pain, illness, and death) (collectively “Liabilities”) whatsoever arising out of or in any way related to your travel to and/or participation in the Retreat and/or any activities conducted in connection therewith, regardless of whether such liabilities are caused by the negligence of any Company Party or otherwise, and regardless of whether such liability arises in tort, contract, strict liability, or otherwise, even if any Company Party has been advised of the possibility of such.
The Companies reserve the right to enforce all Retreat departure times as clearly communicated to the Retreat participants in advance. The Companies are not liable for any personal effects, same being the sole responsibility of the owner at all times.
FINANCIAL GUARANTEE.
We have made every effort to accurately represent the Retreat and its potential. The testimonials and examples used are not intended to represent or guarantee that anyone will achieve the same or similar results. Each individual’s success depends on many factors, including his or her background, dedication, desire, and motivation. By accepting these terms and conditions, you acknowledge that as with any business or transformational endeavor, there is an inherent risk of loss of capital and there is no guarantee that you will earn any money as a result of your participation in the Retreat. By signing below, you also acknowledge that you have represented to the Companies that payment of your Retreat membership fees will not place a significant financial burden on you or your family.
UNFORSEEN CIRCUMSTANCES AND FORCE MAJEURE.
If the Companies are prevented (directly or indirectly) from performing any of its obligations under this agreement by reason of any natural disaster, strike, pandemic, trade dispute, fire, inclement weather, breakdown, interruption of transportation networks/means, government or political action, acts of war or terrorism, acts or omissions of a third party, or for any other cause whatsoever outside of Companies reasonable control, the Companies will be under no liability whatsoever to you and may, at company’s sole discretion, by written notice to you, either cancel the Retreat or take any other reasonable action. In the unlikely event that this happens, we will work to create an alternate plan to the best of our ability.
Prices are subject to increase due to increases in fuel, taxes, baggage fee, hotels, motor coaches, the government, and Force Majeure events. While every effort will be made to adhere to the specifics shown in the most recent publicized itinerary, certain circumstances may necessitate alterations, therefore all hotels, fares, taxes, fuel surcharges, schedules, hours of arrival and departure and all other information contained herein are subject to change.
The Companies reserve the right to make changes in the published itinerary whenever, in their sole judgment, conditions warrant, or if they deem it necessary for the comfort, convenience, or safety of the group. They reserve the right to withdraw any activity announced at their sole and absolute discretion. Amy, Sam and Journeywork Retreats reserve the right to decline to accept any person as a member of the Retreat, or to require any participant to withdraw from the Retreat at any time, when such action is determined by the Retreat leaders to be in the best interest of the health, safety, and general welfare of the group or of the individual participant.
Additionally, responsibility is not accepted by the Companies for losses or expense due to sickness, pandemic or epidemic illness, civil or military disturbances, lack of appropriate medical facilities or practitioners, weather, natural disasters, explosions of any kind, strikes, theft or other criminal acts, war, acts of terrorism, power failure, computer problems, utility unavailability or interruption, travel bans or restrictions, government prohibitions or limitations, immigration or custom restrictions, and/or other such causes (referred to herein as Force Majeure events). All service and accommodations are subject to the laws of the country in which they are provided.
MEDIA.
For valuable consideration, the receipt of which is hereby acknowledged, my images may be shared as part of the event experience. I understand that I shall not be entitled to any compensation for use of my material. If I am not comfortable with my image being captured in photo or video, I will inform a team member in advance to honor my request.
DISCLAIMER. The Retreat instructors are not qualified to provide legal, tax, accounting, financial or psychological advice, and the information provided to you by the Retreat instructors is not intended as such. You should refer all legal, tax, accounting, financially, and psychology related inquiries to appropriately qualified professionals.
CHOICE OF LAW.
This Agreement shall be construed in accordance with and governed by the laws of the State of Delaware.
FORUM SELECTION CLAUSE.
Any action brought under this contract must be brought in the State of Delaware. Furthermore, by entering into this contract each party agrees to submit to the jurisdiction of the State of Delaware for purposes of any action which arises out of or under this contract.
SEVERABILITY.
If any provision, clause, terms, or words of this Agreement are declared void or unenforceable, such provision, clause, terms, or words shall be deemed severed from this Agreement, and all remaining provisions, clause, terms, or words shall otherwise remain in full force and effect.
ATTORNEY’S FEES.
In the event of any breach of this Agreement and action for enforcement hereof, the prevailing party shall be entitled to have and recover from the other party all costs, expenses and attorney’s fees reasonably incurred thereby, together with interest at the highest rate permitted by law on any and all amounts deemed to be due and owing (including costs, expenses, and attorney’s fees), which interest shall accrue from the date of any such claim or amount which has arisen until fully paid.
ASSIGNABILITY.
Neither party shall assign this Agreement without the written consent of the other.
AUTHORITY.
You represent and warrant by signing this Agreement that you have the authority to enter into the same personally and on behalf of your company listed below, if any.
I have read the policies provided here and I agree to participate fully in the Festa Italiana Retreat with Esther Graham. I am committed to doing everything I need to do to get 100% from this experience.
Your online acceptance of this agreement indicates full compliance with the requests, terms and promises stated above.
